SHRDATA.COM PROVIDES ITS SITE AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH NO WARRANTIES WHATSOEVER. THIS LIMITATION ALSO APPLYIES TO, WITHOUT LIMITATION, THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL FURTHER APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, THE SERVICES AND SHRDATA.COM. IF YOU ARE DISSATISFIED WITH THE SERVICE, YOU DO NOT AGREE WITH ANY PART OF THIS CONTRACT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST ANY SHRDATA.COM PARTY WITH RESPECT TO THIS CONTRACT OR THE SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.
INDEMNIFICATION.
You agree to indemnify, defend and hold harmless, shrData.com and its affiliates, to and from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this agreement by you. shrData.com reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with shrData.com in asserting any available defenses.
TERMINATION OF SERVICE.
shrData.com reserves the right to terminate without notice any free Accounts that do not receive a form submission for 12 months or is not logged into for 12 months. shrData.com, in its sole discretion, has the right to suspend or terminate your Account if you breach these Terms of Service or your bandwidth and/or cpu usage significantly exceeds the average of other users of the Service. Any termination of your Account will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.
MODIFICATIONS TO THE SERVICES AND PRICES.
shrData.com reserves the right at any time to modify or discontinue, temporarily or permanently, the services or features provided on this Site with or without notice. All monthly plan prices are subject to change upon 30 days notice from shrData.com. Such notice may be provided at any time by posting the changes to this Site.
PAYMENT OF FEES AND REFUNDS
A valid credit card or PayPal account is required for payment. The Services are paid in advance in accordance with our pricing schedule. All payments are non-refundable. There will be no refunds or credits for partial months of Service, upgrade/downgrade refunds, or refunds for months unused. There will be no exceptions. shrData.com does not bill or send out invoices. There is no billing cycle or automatic charges. Once your account reaches the plan expiration date it will automatically switch to the free account. shrData.com will attempt to email you when your plan expiration date is near. Downgrading your account may cause the loss of data, features, capacity, and accessibility of your account. shrData.com does not accept any liability for such loss.
LOCKED ACCOUNTS.
Your account will automatically be locked if your data storage exceeds your plan's capacity. Your data will not be accessible to anyone while your account is locked. To unlock your account you will need to delete data until you are under your plan's storage capacity, or upgrade to a plan with higher storage capacity. shrData.com will attempt to email you when your account is near its maximum storage capacity. shrData.com cannot be held accountable if your data is inaccessible.
CANCELLATION.
shrData.com does not provide a cancellation process. Should you decide to stop using this Site and its Services simply delete all your Content. shrData.com cannot delete your account since your User ID may be referenced on other forms you have updated.
GENERAL.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts-of-law principles. Please note that your use of the Services may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with shrData.com or relating in any way to your use of the Services resides in the courts of California and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of California in connection with any such dispute including any claim involving shrData.com or its affiliates.
